| Facts and Procedure |

- This agreement will apply to the use of AsiaKingWorld’s Membership Service (hereafter referred to as AKW Services within the website http:/asiakingworld.com (hereafter referred to as AKW home page) operated by Asiaking, Inc. (hereafter referred to as the company) by individuals who register as members in accordance with the procedures described in Section 2 below (hereafter referred to as members).
- By using AKW Services, member indicates that he has read the provisions of this agreement, and expresses willingness to strictly comply with the contents of this agreement.
- Any portion, or the entire agreement, may be changed at any time without prior notice. The contents of such change shall be notified through the email address indicated at the time of registration. If member does not initiate cancellation of membership within a specified time period in accordance with Section 5 below, the modified agreement is deemed accepted by the member.

- Any individual desiring to avail of AKW Services, upon acceptance of the provisions of this agreement, may be registered in accordance with the registration procedures specified herein (through AKW Home Page and other methods). Upon completion of the registration procedure, a Member ID and Password will be issued.
- Upon registration, the member is deemed to have agreed to receive the mail magazine described in Section 3.3 below.
- In case there are any changes in the registered member information, the member will immediately inform the company through the specified procedures for changes in member information (AKW Home Page and other means).
- In case false information is found among the registered member information, the company may refuse or invalidate registration. This rule will also apply if mail send to the member’s registered Email address is returned despite multiple attempts.
- This agreement will also apply to any individuals whose membership is received prior to promulgation of these rules. If a member does not wish to accept these provisions, he/she is requested to initiate cancellation of his/her membership in accordance to the procedures in Section 5 below.

- AKW Services shall comprise of the exclusive website contents included in Section 2 above and the mail magazine described in this section.
- The company will provide web contents for the exclusive use of its members who shall gain access to the website using the Member ID and Password issued to them.
- The company will provide several types of mail magazines for the exclusive use of its members. In accordance with prescribed procedures, members may opt to receive or reject such mail magazines. However, member must opt to receive at least one (1) mail magazine.
- The company will, depending on need, communicate with the member by Email, aside from the mail magazine mentioned above.
- The member understands that communication from the company may include advertisement for products and services.
- If mail magazines sent to the member’s designated Email address are returned several times, the company, may, without further notice, discontinue the sending of such mail magazines.

- The member is responsible for the management and use of his/her Member ID and Password.
- The member is not allowed to lend, rent/lease, transfer or sell the Member ID and Password issued for his exclusive use.
- The company is not responsible for any damages arising from mismanagement and mistaken use of the Member ID and Password, as well as damages arising from third-party use, except in instances where the damage arises from the company’s willful negligence.

| Cancellation of Membership |

- Members may cancel their membership from AKW Services in accordance with the procedure indicated in the AKW Home Page or other specified means.

|
|
|
|
- The company may unilaterally discontinue use of AKW Services in the following circumstances:
- Misuse of Member ID and Password.
- In the event of violation, or possible violation, of the provisions of this agreement.
- When the credit card registered by member at enrollment is no longer honored by credit card company.
- When member is unable to pay the membership fees in part or in full.When it is no longer possible to communicate with member by email, fax, telephone or postage.
- If after due notice and warning, and an adequate period of time has lapsed, and the member whose use of AKW has been discontinued has not taken steps to resolve the indicated circumstance in the previous article, the company may withdraw the membership status. However, in certain urgent and unavoidable situations, the company may withdraw membership status without discontinuing AKW use.

- The member will be responsible for preparing at own expense all equipment, software and communications facilities, together with all auxiliary machinery, including internet connection necessary for availing of member services.

|
| Handling of Personal Information |
|
| |
|
- The company will take all possible care to protect and maintain the privacy of all personal information of members, based on the company’s Privacy Policy.
- The company will use member information in order to provide the member with the best solutions (customer needs analysis, product and services development, collection and analysis of customer appraisal, suggestions to members and others), and will not use gathered information for purposes other than those specified at the time the information is requested. The personal information will not be shared with third parties except for duly authorized reasons, and the subsidiaries or subcontractors of the company.
- In the event that the company will use members’ personal information for purposes other than those indicated in the Privacy Policy and the preceding paragraph, it will first seek the approval of the members.

- The company and its subsidiaries retain the copyright for all contents (web information, mail magazines, and other information, materials, images, audio including software). Except for non-profit, personal use, members may not copy, transfer, modify, transmit, distribute, publish otherwise utilize the contents without the explicit authorization of the company or other copyright owners.
- Members will not falsify or erase the copyright and property rights indication shown in the contents of the Asiakingworld site.
- All electronic mail sent by the company to members in relation to Asiakingworld services are meant for the members alone. Reproduction or revision of said mail may constitute violation of copyright. Reproduction in part or in full of said mail, or offering in a manner that can be used by third parties (such as publishing in home pages, forwarding of mail to multiple persons, among other things) is not allowed without the explicit authorization of the company.

| Revision, Cancellation, Discontinuation of Asiakingworld Services |

- The company may, without seeking the approval of its members, revise the Asiakingworld services in full or in part; cancel Asiakingworld services (including temporary cancellation for reasons of system maintenance, construction and other causes; or discontinue said services.
- In the event that all Asiakingworld services, or and important portion thereof, will be discontinued, said information will be relayed to its members in the manner to be chosen by the company. However, this may not apply in urgent and unavoidable circumstances.
- In case of discontinuation as stated in the previous paragraph, the company will not be responsible for any losses or damages that may be incurred by members.

| Exception from Responsibility |

- While the company takes every care in editing and preparing the Asiakingworld home page, it does not guarantee the completeness or accuracy of the information contained therein.
- The company may, at any time, without need of prior information to members, change revise, improve, or remove the contents of the Asiakingworld services.
- The company does not in any way guarantee to the members in relation to Asiakingworld services, including access to Asiakingworld services at all times; the completeness, accuracy or usefulness of Asiakingworld contents; or that there are no infringement to rights, among other things.
- By accessing the company’s home page, the user agrees that the company and its affiliates will not take any responsibility for any losses or damages incurred by members or other third parties, directly or indirectly arising from the use of the information and/or contents of the Asiakingworld home pages.
- Members use Asiakingworld services on their own responsibility.
- In the event of any disputes between members or members and other third parties related to the use of the Asiakingworld services, said disputes will be amicably settled between the concerned parties, with the company exempted from all responsibility in said disputes.
- In the event of disputes between members and credit card companies or collecting agents, in relation to the payment of Asiakingworld service fees, said disputes will be resolved by the concerned parties.

- Based on this agreement, all notices or communications will be sent through the Asiakingworld home pages, by email to the email address registered by the member, or by regular mail to the address registered by the member. Communication through any of these methods shall constitute due notice to members.
